Terms & Conditions

We provide digital marketing and web development services, including but not limited to:

• Social Media Marketing & Management
• Search Engine Optimization (SEO & Local SEO)
• Lead Generation & Performance Advertising
• E-commerce Marketing Campaigns
• WordPress, Shopify & Custom Website Development
• E-commerce Website Development
• Mobile & Web Application Development

The specific scope, timeline, and deliverables for any engagement will be outlined in a separate written agreement, proposal, or statement of work ("SOW") signed by both parties.

To ensure successful project delivery, you agree to:

• Provide accurate, complete, and timely information, content, and access required for the project
• Respond to communications and approval requests within agreed timeframes
• Designate a primary point of contact authorized to make decisions
• Ensure you own or have proper licenses for all content, images, logos, and materials provided to us
• Make payments according to the agreed schedule

Delays caused by failure to fulfill these responsibilities may impact project timelines and additional fees may apply.

Fees, payment schedules, and accepted payment methods are specified in the project proposal or SOW. Unless otherwise agreed:

• A deposit (typically 50%) is required before project work begins
• Remaining balance is due upon project completion or per the agreed milestones
• Recurring services (e.g. monthly SEO, social media management) are billed monthly in advance
• Invoices are payable within 14 days of issue unless otherwise stated
• Late payments may incur a 1.5% monthly interest charge or the maximum allowed by law

All fees are non-refundable except as expressly stated. We reserve the right to suspend or terminate services for non-payment.

Upon full payment, you receive ownership of the final deliverables produced specifically for your project (such as custom designs, code, and content), subject to the following exceptions:

• Third-party assets (stock photos, fonts, plugins, themes) remain the property of their respective owners and are licensed per their terms
• We retain the right to use general methodologies, frameworks, code libraries, and know-how developed during the project
• We retain ownership of pre-existing materials, templates, and proprietary tools
• We reserve the right to display the work in our portfolio and marketing materials unless explicitly agreed otherwise

Each project includes a defined number of revision rounds as specified in the SOW. Additional revisions beyond the agreed scope may be billed at our standard hourly rate.

Client approval is required at key project milestones. Failure to provide feedback within 14 days of a delivery may be deemed as approval, and we will proceed to the next phase.

We provide our services with reasonable care and skill, in accordance with industry standards. However, we do not guarantee specific results, including but not limited to:

• Specific search engine rankings or traffic volumes
• Specific conversion rates, sales, or revenue figures
• Approval by third-party platforms (e.g. Apple App Store, Google Play, ad networks)
• Uninterrupted or error-free operation of websites or applications

Our services are provided "as is" without warranties of any kind, whether express or implied, to the maximum extent permitted by law.

To the maximum extent permitted by law, Brooklyn Virtual Pro shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, or business opportunities, arising out of or related to our services.

Our total aggregate liability for any claim arising from these Terms or our services shall not exceed the total fees paid by you to us in the three (3) months preceding the claim.

Both parties agree to keep confidential any non-public information shared during the engagement, including business plans, strategies, financial information, and proprietary data. This obligation survives termination of the agreement.

Either party may disclose confidential information if required by law, court order, or government authority, after providing reasonable notice to the other party where legally permitted.

Either party may terminate the engagement with 14 days' written notice. Upon termination:

• You will be invoiced for all work completed up to the termination date
• All outstanding invoices become immediately due and payable
• We will deliver all completed work for which payment has been received
• Recurring service agreements may have specific notice and cancellation terms outlined in the SOW

We reserve the right to terminate immediately if you breach these Terms, fail to pay invoices, or engage in unlawful or harmful conduct.

You agree to indemnify, defend, and hold harmless Brooklyn Virtual Pro, its founders, employees, contractors, and partners from any claims, damages, losses, or expenses (including legal fees) arising out of:

• Your use of our services in violation of these Terms
• Content, materials, or information you provide that infringes third-party rights
• Your violation of any applicable law or regulation
• Your products, services, or business activities

Neither party shall be liable for delays or failures in performance caused by events beyond reasonable control, including natural disasters, pandemics, government actions, internet outages, third-party platform failures, or other unforeseeable circumstances.

These Terms are governed by the laws of the State of New York, United States, without regard to conflict of law principles. Any disputes arising from these Terms or our services shall be resolved in the state or federal courts located in Kings County, New York.

Before initiating any legal action, both parties agree to attempt good-faith resolution through direct communication or mediation for at least 30 days.

We may update these Terms from time to time to reflect changes in our services, business practices, or legal requirements. We will post the updated Terms on this page with a new "Last Updated" date. Material changes may be communicated via email where applicable.

Your continued use of our website or services after such changes constitutes acceptance of the updated Terms.

These Terms, together with any signed SOW or project agreement, constitute the entire agreement between you and Brooklyn Virtual Pro. If any provision is found unenforceable, the remaining provisions remain in full force.

Our failure to enforce any right does not constitute a waiver. Neither party may assign these Terms without the other's written consent, except that we may assign to a successor entity.
